We believe in the talent and strength of our team, so that, in aim to keep growing together, we are looking for a Senior Legal Counsel based in our offices of Madrid. Overview of the Position Reporting to the Head of Legal, you will play a pivotal role within our legal and commercial team.In this capacity, you will engage extensively with members of the Business Development and Operations teams, offering robust legal and commercial support to our senior leadership. Your collaborative efforts will extend to Project Directors, Business Development, and Proposal teams, aiding them in pursuing business development opportunities, crafting commercial proposals that align with contractual and commercial prerequisites, and ensuring the successful execution of projects. Ideal Candidate As an experienced in-house legal practitioner, the ideal candidate will bring substantial experience in strategizing and leading negotiations while delivering complex infrastructure projects. Your approach should exhibit a sound commercial acumen alongside robust legal and contractual project management skills. The ideal candidate should have at least 6 years of post-admission experience, gained through a combination of roles in top-tier international law firms and in-house positions, with a focus on the construction, infrastructure, and renewables sectors. Your background should include a deep understanding of legal and commercial concepts, a strong grasp of structural and commercial frameworks, outstanding written and verbal communication abilities, and expertise in drafting and negotiating a wide range of general commercial agreements. These agreements encompass Engineering, Procurement, and Construction (EPC) agreements, Operation and Maintenance (O&M) agreements, associated subcontracts, leases, joint ventures, tripartite agreements, guarantees, and other relevant contractual arrangements. Your role will involve executing a strategic approach to managing claims, skilfully balancing legal risk with commercial considerations. Your positive demeanour, coupled with exceptional interpersonal skills and a genuine enthusiasm for active engagement and continuous learning, harmonizes seamlessly with our organizational culture. Mission Assist the Business Line in executing the selected projects by identifying potential risks, offering alternative mitigation strategies, and facilitating negotiations while maintaining meticulous transaction documentation. Key Responsibilities Provide comprehensive legal and commercial support for multiple projects across the globe, spanning locations such as Australia, the USA, the UK, Portugal, and Spain.Engage in drafting, reviewing, and negotiating contracts related to the development and construction of solar farms and battery storage systems, with a specific focus on EPC and O&M Contracts. This also includes MOUs, NDAs, LOIs, Exclusivity Agreements, Settlement Agreements, Subcontracts, and Supply Agreements.Establish, execute, and lead commercial and contractual processes related to correspondence, notifications, insurances, variations, and claims.Monitor and ensure compliance with prevailing and emerging governance and regulatory issues pertinent to the construction industry.Identify project risks and provide proactive counter-strategies and commercial solutions to mitigate their impact.Drive the post-execution contract management strategy, offering critical legal and commercial guidance to support each project's overall execution strategy.Counsel and assist project management teams in claims management and address day-to-day operational matters.Administration of external counsel services. While our primary approach is to deliver services internally, we do engage external expertise as needed. We diligently assess their guidance, control costs, and maximize the value received.Manage subcontractor-related issues and provide solutions and guidance to the Project Management Team.Mentor junior lawyers and provide support in their professional development, while also facilitating training initiatives across the organization. Key Skills, Experience and Qualifications 1. Bachelor of Laws (LL.B.).2. 6 years+ post-admission experience (PAE).3. Proficiency in English: Candidates must demonstrate a high level of proficiency in the English language, encompassing strong written and verbal communication skills. Proficiency in Spanish and other languages is desirable but not essential.4. A minimum of 3-5 years' experience in a well-respected national or international law firm, with a focus on construction, projects, or resources teams.5. A minimum of 2 years' in-house experience within the infrastructure and renewables sectors.6.
